Personafile has entered into commission-based affiliate marketing agreements with our merchant partners ("Affiliate Merchants"). Our Personafile members can share in these commissions by registering in the Personafile [i] Gain Cash Rewards Program. To ensure that you, as a Personafile "Member", fully understand what you will be paid for, when you will be paid, what rights you have as a Member and what our responsibilities are to you, we have created this document, "Terms and Conditions". By registering in the Personafile [i] Gain Cash Rewards Program, you agree that you have read, understood, and agreed with the following Terms and Conditions, and consent to be bound by all said Terms and Conditions, including any updates thereto. PROGRAM OVERVIEW
The "[i] Gain Cash Rewards Program" is defined as the Personafile cash rewards program that allows "Registered Members" of Personafile to shop with our "Affiliate Merchants" and earn cash rewards from the purchases they initiate from their Personafile "Account". The [i] Gain Cash Rewards Program is offered for free and is conferred as a benefit of membership of Personafile. You are under no obligation to participate or redeem your [i] Gain Cash Rewards. Personafile offers [i] Gain Cash Rewards cash rewards by working with online retailers utilizing affiliate marketing agreements. As a Registered Member, you will be automatically credited, subject to this Agreement, a percentage of the net purchases, or a specified flat amount for purchases made or actions taken by you through your Personafile Account at merchants designated as Personafile Affiliate Merchants. You can also accrue [i] Gain Cash Rewards from the purchases made at Affiliate Merchants by Personafile Account holders that joined Personafile from a direct referral from you. In addition, you may receive [i] Gain Cash Rewards for participating in such other activities as may be designated by Personafile from time to time by amendment to this Agreement setting forth the specific terms. [i] Gain Cash Rewards that are earned by you as a result of a purchase from Affiliate Merchants will be held in an account maintained by Personafile until the amount in your account exceeds $25.00 US Dollars. You, as the Registered User, must activate your participation in the [i] Gain Cash Rewards Program and you must request payment through the appropriate mechanism on your Personafile "My Account" page. Personafile is not responsible for the products or services offered by the Affiliate Merchants. Personafile is responsible only for establishing and maintaining your Account based upon the information you provide and the purchase information provided by the Affiliate Merchants and for permitting you to request your [i] Gain Cash Rewards until such time as the [i] Gain Cash Rewards are forfeited as set forth in this Agreement. ELIGIBILITY
Participation in the [i] Gain Cash Rewards Program is limited to individuals that are 18 years or older. Any attempt to accumulate [i] Gain Cash Rewards by means of an automated machine, or computer, scripts, software, computerized or automated process, or through the use of multiple accounts is expressly prohibited. Personafile will cancel a user's account and that user will forfeit all [i] Gain Cash Rewards earned if they are found to be manipulating, tampering, hacking, spoofing, modifying, or corrupting the administration, security, or proper function of any part of the Personafile system. Personafile reserves the right to pursue such prohibited conduct to the fullest extent of the law. Members must maintain one unique Account and any duplicate Accounts are subject to cancellation. The [i] Gain Cash Rewards Program is currently offered for purchases made through Affiliate Merchant links on a Registered Member's Personafile site. You must have Internet access and a valid working email address to receive the privileges and benefits of participation in the [i] Gain Cash Rewards Program. You also agree not to "spam" other individuals to join Personafile via unsolicited email, direct mail, newsgroups, message boards, or other means. Personafile reserves the right to remove a Member from the Program if they are found to be "spamming". It is the sole discretion of Personafile to determine if a user is "spamming". If you are initiating registration on behalf of an organization, then you represent that you are duly authorized to make such registration on behalf of the organization and that you may enter the organization into a binding agreement. Violation of any part of these terms will result in immediate termination of your Personafile Account. Any [i] Gain Cash Rewards that you have earned either via cash rewards from your own shopping or referral commissions will be forfeited. Further, Personafile reserves the right to pursue legal action, through which we may seek both compensatory and punitive damages. In addition, we may also pursue criminal charges where applicable. The terms set forth herein are critical to the integrity of the Personafile [i] Gain Cash Rewards Program and to the protection of participating members. As such, they shall be rigorously enforced. EARNING [i] Gain Cash Rewards CASH REWARDS
To be eligible for [i] Gain Cash Rewards you must make a "Qualified Purchase". In order to make a "Qualified Purchase", you must satisfy the following criteria:
[i] Gain Cash Rewards CASH REWARD PERCENTAGES
Members will be awarded an increasing percentage of the net purchase price of the Qualified Purchase in [i] Gain Cash Rewards cash rewards. The percentage will be based on the Member's Personafile Activity Level. As a Member's Activity Level increases the percentage gained will increase. Personafile Reward System
The Personafile [i] Gain Cash Rewards system has a simple goal: encourage Personafile Members to shop through Personafile. Personafile users are rewarded on a cash reward basis in a commission split model: users are rewarded with a portion of the commission Personafile receives for purchases they initiate through Personafile. Activity Level, Points, and Payout Percentage
The Payout Percentage in the commission split is based the number of points a Registered User's Account has earned and the resulting Activity Level the user has achieved. Points are earned by doing various activities within Personafile. For example, if a user invites another person to join Personafile, he is given 100 points for sending the invite and 500 points for a completed invite (invited user joins). There are presently about 25 different activities within Personafile that add points to a user's account. There are five Activity Levels within Personafile:
Examples: User 1 is a blue user; he just joined Personafile. He buys a $499.00 camera from Amazon (through Personafile). Personafile earns 5% or $24.95. Personafile credits User 1's account $2.95 or 10% of $24.95. User 2 is a red user; he joined Personafile 4 months ago. He buys a $499.00 camera from Amazon (through Personafile). Personafile earns 5% or $24.95. Personafile credits User 2's account $12.48 or 50% of $24.95. [i] Gain Cash Rewards Pay-Up Cash Reward Split
In addition to the commission split between the user and Personafile, as described above, a user's Account may have a "Pay Up" requirement. Pay Up is a percentage of commission split that is shared with the user's parent account (the Account that invited the user). Pay Up is single level. If user A invites user B who invites user C, user C only does a Pay Up to user B. RESTRICTIONS & DESCREPANCIES
Certain cash reward restrictions can apply to select Affiliate Merchants. Also, the following purchases at ALL merchants do not qualify for Cash: gift certificate purchases, gift card purchases, RX prescriptions, pet prescriptions, extended warranty products and monthly delivery products such as "auto-ship" products and "wait-list" items. Personafile makes no guarantees that cash rewards will be provided on purchases even if all steps are followed for a Qualified Purchase. When a reward inquiry claim is filed by a Member, Personafile customer support will contact the merchant in question and will seek a resolution, but Personafile will not offer the reward in question unless the merchant agrees to pay Personafile for that particular reward. If after 4 weeks, a merchant does not resolve the rebate issue, this will constitute non-payment from the merchant and the reward inquiry cannot be paid. Some purchases may require the Member to provide proof-of-purchase details. This may include a copy of the Member's purchase receipt from the Affiliate Merchant. Determination of whether or not a purchase made through a Personafile Affiliate Merchant is a Qualified Purchase is at the sole discretion of Personafile. Personafile is not responsible for tracking problems resulting from incorrect usage of the Personafile site, disabling cookies, computer issues resulting from unknown causes such as third-party software or other issues, Affiliate Merchant errors/omissions or from any other failure of tracking mechanisms. The appropriate [i] Gain Cash Rewards cash rewards information accrued from a Qualified Purchase from an Affiliate Merchant will be posted to the Pending section of your Personafile Account within 30 days from notice thereof to Personafile by an Affiliate Merchant. Once we receive payment for your transaction and the return period defined by the Affiliate Merchant has expired, the Pending [i] Gain Cash Rewards cash balance, adjusted for returns or other such variables will be moved into the Available [i] Gain Cash Rewards section of your account. Your [i] Gain Cash Rewards, according to the amount indicated in the Available [i] Gain Cash Rewards section of your account, will be eligible for request of payment when you have exceeded $25.00 in your account. If a discrepancy occurs in a Personafile Member Account such as a reward not being credited to an Account and the Personafile Member believes he/she made the purchase through Personafile, then the Member must contact Personafile via our Customer Support Forms within 60 days of the purchase/order date of the goods/services. Failure in contacting Personafile within that 60 day period will result in no customer support reward inquiries to the merchants for the said orders/purchases. [i] Gain Cash Rewards awarded to you are subject to adjustments for returns and cancellations, receipt of information and payments on such purchases from the Affiliate Merchants and other events. In case of return or cancellation, Personafile retains the right to reverse Account reward credit. In addition, Personafile reserves the right to make adjustments to Member Accounts at any time in Personafile's sole discretion. If you disagree with any adjustments made to your Account your sole remedy is to discontinue use of the Program. In the event that an Affiliate Merchant shall withhold any portion of the fees payable to Personafile as the result of a Qualified Purchase, Personafile reserves the right to withhold the same amount from the [i] Gain Cash Rewards credited to your Account based on such purchase(s). USE OF ONLINE COUPONS
Personafile may also provide online coupons as a free service to its Members. These online coupons may be entered by our administrative staff on a periodic basis. Personafile is not responsible for the redemption, errors/omissions or expiration of online coupons and it is the Member's responsibility to make sure that a discount, % off, special pricing, or free offers is present in the checkout process of an Affiliate Merchant. Coupons are generally not valid with any other offer from a specific merchant unless otherwise noted. Coupon codes obtained outside of your Personafile Account can nullify a cash reward given for a particular merchant. Personafile reserves the right to cancel any cash reward because of coupon codes that are used from external sources other than Personafile. All offers and promotions on the Personafile site are subject to change without notice. Personafile provides a venue for obtaining the information contained in this site and has no control over the legality of any coupons or other offers made by Affiliate Merchants, the ability of any of the Affiliate Merchants to complete the sales in accordance with the offers, or the quality of the goods offered by the vendors. Personafile has no control over whether Affiliate Merchants will honor the offers shown on this site and does not guarantee the accuracy or completeness of the information contained in this site. In the event you have a dispute with a Affiliate Merchants in any way relating to this site or the use of information from this site, you agree to waive and release Personafile from any and all claims, demands, actions, damages (actual and consequential), losses, costs or expenses of every kind and nature, known and unknown, disclosed and undisclosed relating to that dispute. REQUESTING [i] Gain Cash Rewards CASH REWARDS
You may request payment for your [i] Gain Cash Rewards that are designated as Available in your Account at any time when you have exceeded $25.00 in your Account through the designated form on your Personafile Account page. PAYMENT METHOD. Personafile currently pays its members by PayPal. Personafile reserves the right to modify this payment method, including, but not limited to, other forms of electronic payments. PAYMENT PROCESSING FEE. Personafile will deduct 2% of the payment amount up to a maximum of $1.00 from each payment as a payment processing fee. This fee is charged to Personafile by PayPal and Personafile does not profit from this fee. You understand that there is a $10,000 single-payment maximum allowed by PayPal. If the amount we owe you exceeds $10,000 for one pay period, we will break the payment into multiple payments as necessary. This means the above fee will be assessed per payment. You understand that if you exceed $600 in payments from Personafile during a calendar year, Personafile will be required by law to send you a 1099 form. At this point, we will request additional information from you, as required to complete the 1099 form. We will be unable to pay you for any amount exceeding $600 for any calendar year, until such time as you supply the required information. All [i] Gain Cash Rewards are paid in U.S. dollars. In all instances, you will be solely responsible for any and all tax liability arising out of your accrual or redemption of [i] Gain Cash Rewards. PRODUCT PRICING
Personafile posts product pricing in various sections of the website. While Personafile makes every effort to post accurate pricing, any individual product price displayed on Personafile is subject to change and the final price of a product is determined at the merchant's website. Personafile, nor the merchant in question, are not liable for any pricing errors. MEMBER RESPONSIBILITIES
You are responsible for maintaining accurate Account information at all times, including valid email address information. Members are also responsible for reviewing their Account balance on a regular basis and for checking to ensure that all rewards have been made properly. You must inform Personafile within 60 days of a Qualified Purchase if you believe there has been a failure or error in the award of [i] Gain Cash Rewards cash rewards related to the purchase. Furthermore, all Accounts are subject to review. Necessary adjustments may be applied to Member Accounts at any time by Personafile at its sole discretion. If you do not agree to adjustments made to your Account, your only recourse will be to terminate your membership in the Program. Personafile reserves the right to terminate any Account for abusive or fraudulent activity, or if the Member is no longer reachable at the e-mail address provided. Personafile is not responsible for changes to, or discontinuance of, any Affiliate Merchant, or any Affiliate Merchant withdrawal from the affiliate program, or for any effect on accrual of [i] Gain Cash caused by such changes, discontinuance, or withdrawal. Members are responsible for redeeming [i] Gain Cash. There is no automatic or periodic redemption. Personafile is entitled to act on instructions received under your password as a Personafile Member and in connection with your account. You are responsible for keeping your email address, passwords, account numbers, and other account information confidential. Personafile is not responsible for any credits or debits made to your account by someone else who uses your password. Personafile will not be responsible for any losses or liabilities incurred through the use of your password by a third party. Participation in the Program is personal to you. [i] Gain Cash Rewards received under the Program may not be assigned or transferred to any third party except as expressly permitted by Personafile in writing. The sale, transfer, lending, exchange, pooling, or barter of any [i] Gain Cash, other than by Personafile, is expressly prohibited. Any [i] Gain Cash Rewards assigned, sold, or otherwise transferred in violation of this Agreement may be confiscated or canceled. Any violation of the foregoing restrictions is grounds for account termination and forfeiture of all [i] Gain Cash Rewards. You authorize Personafile to disclose to third parties information you have provided, or information that Personafile has obtained about your Personafile account: (i) to agents of Personafile or its affiliates, such as independent auditors, consultants or attorneys; (ii) to comply with government agency or court orders or requests; or (iii) where it is necessary for redemption or transfer of your [i] Gain Cash Rewards. You authorize Personafile to receive any account information from any Affiliate Merchant including, but not limited to information regarding the Qualified Purchase such as the products ordered, the order number, the time, and date the Qualified Purchase occurred, the email address entered for the Qualified Purchase. You agree to hold the participating Affiliate Merchant harmless for any information disclosed to Personafile. TERMINATION AND MODIFICATION
Personafile reserves the right to terminate the [i] Gain Cash Rewards Program at any time with notice. In the event the [i] Gain Cash Rewards Program is terminated, you will have sixty (60) days from the date notice is transmitted by Personafile to the email address specified in your account to redeem your [i] Gain Cash Rewards. Notification of [i] Gain Cash Rewards Program termination will be sent to the email address provided to Personafile during the registration process. Personafile will not be responsible for failing to notify you of Program termination where such failure is caused by an inaccurate email address, your failure to check email online, or your failure to inform Personafile of a change in your email address. You may cancel your account at any time by using the account interface on the Personafile web site to cancel your account. Immediately upon cancellation, your account will be closed. YOU UNDERSTAND AND AGREE THAT UPON CLOSING YOUR ACCOUNT, YOUR RIGHT TO PARTICIPATE WILL CEASE AND ALL [i] Gain Cash Rewards IN YOUR ACCOUNT AT SUCH TIME, HOWEVER AND WHENEVER ACCUMULATED, WILL BE FORFEITED. Personafile reserves the right to modify this Agreement from time to time, with or without notice. If there is a modification to the Program, we will endeavor to notify you; however, we will not be responsible if you do not learn of the modification. Continued participation in the Program after such modification shall be deemed to be your acceptance of any such modification. It is your responsibility to check this page of the Personafile Web site regularly to determine whether this Agreement has been modified. If you do not agree to any modification of this Agreement, you must immediately cease participation in the Program. Membership in the [i] Gain Cash Rewards Program is subject to the Program Terms and Conditions. Any failure to comply with the Program Terms and Conditions, any fraud or abuse, or any misrepresentation of any information furnished to Personafile by you or anyone acting on your behalf may result in the termination of your account and the forfeiture of all [i] Gain Cash Rewards. DISPUTE RESOLUTION
All questions or disputes regarding the Program, including without limitation, questions or disputes regarding eligibility for the Program, or the eligibility of [i] Gain Cash Rewards for accrual or redemption, must be submitted in writing within 60 days of the qualifying transaction, to Personafile by using our Support Request form. Any such disputes shall be resolved by Personafile at its sole discretion. All interpretations of Program Terms and Conditions shall be at the sole discretion of Personafile. In the event that an error is made by Personafile, your sole remedy shall be the credit of the disputed [i] Gain Cash Rewards to your Personafile account. MISCELLANEOUS
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without reference to conflicts of law rules. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. Personafile's failure to insist upon or enforce strict performance of any provision of the Agreement shall not be construed as a waiver of any provision or right. Nothing in this Agreement shall be construed as creating or constituting a partnership, joint venture or agency relationship between Personafile and the Affiliate Merchants or between you and Personafile. This Agreement constitutes the entire agreement between the Member and Personafile with respect to the Program. IN NO WAY ARE PERSONAFILE AFFILIATE MERCHANTS RESPONSIBLE FOR THE OPERATION OF THE PERSONAFILE PROGRAM, NOR ARE SAID AFFILIATE MERCHANTS OBLIGATED TO FURNISH PAYMENT TO PERSONAFILE MEMBERS. THIS AGREEMENT IS MADE ENTIRELY BETWEEN PERSONAFILE AND YOU, THE PARTICIPATING MEMBER. TERM AND TERMINATION
This Agreement will become active on the date that you register for the [i] Gain Cash Rewards Program with Personafile and may be terminated at any time by either party with or without cause by providing written notice to the other party. In the event that this Agreement is terminated, you agree to remove all links and other promotional material related to Personafile from any website that you may operate within two business days following the termination date. Further, Personafile agrees to pay any outstanding commission due to you within ninety (90) days of the termination date or until your final purchase has exceeded the Affiliate Merchant's return policy expiration date, whichever is greater. You agree that you will re-pay any outstanding balance that you owe Personafile as a result of returns, exchanges and other debiting transactions for which we have already paid you within thirty (30) days of the termination date. IN NO EVENT SHALL YOU BE LIABLE FOR ANY AMOUNT EXCEEDING THE AGGREGATE AMOUNT THAT PERSONAFILE HAS PAID TO YOU, EXCEPT AS INDICATED IF YOU ARE FOUND TO BE IN BREACH OF THIS AGREEMENT. MODIFICATIONS
Personafile reserves the right to modify this Agreement at any time. We will make every reasonable effort to contact you using the information that you provide to notify you of such changes. At our option and in lieu of contacting you directly, we may advise you of modifications to this agreement by placing this information prominently on the Personafile website. IF ANY MODIFICATION IS UNACCEPTABLE TO YOU, YOUR ONLY RECOURSE IS TO TERMINATE THIS AGREEMENT. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING OUR POSTING OF A NEW AGREEMENT ON OUR SITE WILL CONSTITUTE YOUR BINDING ACCEPTANCE OF THE MODIFIED TERMS. PROMOTION
You understand that in addition to spam, certain types of promotion are prohibited, as follows:
In addition, Personafile prohibits promotion on certain websites or other "contexts", where a context is defined as a blog, forum, web page, or other content medium. These include: 1. Websites or contexts that promote or display content that may be deemed pornographic or offensive 2. Websites or contexts that promote hatred or intolerance of others These are only guidelines and Personafile reserves the right, in its sole judgment, to make exceptions and to decide which specific instances of promotion it will allow. By joining the Personafile [i] Gain Cash Rewards Program, you are agreeing to receive Personafile notification and promotional emails, newsletters, and other email special offers. If you do not wish to receive these Emails, you may opt out at any time by updating your account information at Customer Support by clicking on the unsubscribe link on the email itself; clicking on the Edit My Profile link at the bottom of the [i] Gain Cash Rewards homepage; or clicking on the My Preferences link on the left side of the [i] Gain Cash Rewards homepage. By joining the Personafile [i] Gain Cash Rewards Program, you agree that you have reviewed and accepted our Privacy Policy. This Agreement constitutes the entire Agreement between you and Personafile in connection with [i] Gain Cash Rewards Program and supersedes all prior agreements (except for the Membership Agreement) between the parties regarding the subject matter contained herein. If any provision of this Agreement is found invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the other provisions contained herein will remain in full force and effect. No failure of either party to exercise or enforce any of its rights under this Agreement will act as a waiver of such rights. Nothing in this Agreement shall be construed as creating or constituting a partnership, joint venture, agency or other like relationship between Personafile and its Affiliate Merchants. Neither the Affiliated Merchants nor any Personafile Corporate Partner shall have the ability to create obligation on Personafile's behalf. DISCLAIMERS AND LIMITATIONS ON LIABILITY
THE [i] Gain Cash Rewards PROGRAM IS BEING PROVIDED BY PERSONAFILE "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, PERSONAFILE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE AND IMPLIED WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE. YOU AGREE THAT PERSONAFILE WILL NOT BE LIABLE FOR ANY COSTS OR DAMAGES ARISING OUT OF A DISPUTE BETWEEN YOU AND ANY PARTICIPATING MERCHANT, AND YOU HEREBY EXPRESSLY WAIVE ANY SUCH CLAIM AGAINST PERSONAFILE AND ITS MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, SUBSIDIARIES, AGENTS, AFFILIATES, AND REPRESENTATIVES.
